Instructor Agreement

This Instructor Agreement (the "Agreement") is entered into between Property Pro Legal, located at www.propertypro.legal, and the instructor ("Instructor"). This Agreement governs the terms under which the instructor will provide educational services on the Property Pro Legal platform (the "Platform").

By registering as an instructor and submitting courses, materials, or content, the instructor agrees to be bound by the terms and conditions outlined below.

Overview

The Property Pro Legal Platform allows instructors to create, sell, and manage courses related to property law, real estate, legal consulting, and other related fields. This Agreement sets forth the responsibilities, rights, and obligations of both the Instructor and the Platform.

Platform Access

• The instructor is authorized to create, upload, and offer courses via the Platform. The Platform provides tools for course creation, management, and interaction with students, All courses must be submitted for review by the Platform. The Platform reserves the right to approve or reject any course that does not meet its standards for quality, accuracy, and appropriateness.

Instructor's Obligations

• The instructor must create and upload only original content that they own or have the necessary rights to use. Content should be related to property law and real estate subjects.
• The instructor agrees to maintain high standards of content quality, ensuring that all materials are clear, accurate, and up-to-date. Any claims made within the course content must be based on factual information and legal principles.
• The instructor agrees to maintain a professional demeanour in all interactions with students, fellow instructors, and Platform administrators. This includes promptly addressing student inquiries and concerns.
• The instructor agrees to comply with all applicable laws, including copyright, privacy, and intellectual property laws, when creating and sharing course content.

Payment and Revenue Share

• In exchange for providing content, the instructor will receive a share of the revenue generated from students enrolling in their courses. The exact percentage of this revenue share will be specified in a separate payment policy provided by the Platform.
• Payments to the Instructor will be made monthly, based on the total revenue generated from their courses, subject to the Platform's revenue policies. The instructor must ensure that payment details are up-to-date for timely payment.
• The instructor is responsible for any taxes that apply to the payments they receive from the Platform.

Ownership and Intellectual Property

• The instructor retains full ownership of their course content. However, by uploading content to the Platform, the Instructor grants Property Pro Legal a non-exclusive, worldwide, royalty-free license to use, display, distribute, and promote the content on the Platform.
• The Platform has the right to modify or edit the content to ensure that it is compatible with its systems or to comply with technical requirements. Any changes will be communicated to the instructor before they are implemented.

Confidentiality

• The instructor will have access to certain personal information of students enrolled in their courses, such as names, emails, and course progress. The instructor agrees to keep this information confidential and not to share it with any third parties, except as necessary for course-related purposes, Both Parties agree not to disclose any proprietary or confidential information obtained through this Agreement, including Platform business strategies, technologies, and financial data.

Termination

• The instructor may terminate their relationship with Property Pro Legal at any time by removing their courses from the Platform. Termination will not affect any payments due for courses sold prior to the termination date.
• The Platform reserves the right to terminate the instructor's account if they fail to comply with the terms of this Agreement, engage in misconduct, or if the Platform deems it necessary. Termination can occur without prior notice if the breach is severe, upon termination, the instructor will no longer have access to the Platform's course management system and any unpublished courses or content will be removed. However, any revenue due for courses that were published and sold before termination will still be paid.

Liability and Indemnification

• Property Pro Legal is not responsible for any damages, losses, or claims arising from the content provided by the instructor, including but not limited to claims of copyright infringement, misrepresentation, or loss of income.
• The instructor agrees to indemnify and hold Property Pro Legal harmless from any legal claims, disputes, or damages arising from their use of the Platform, including claims related to course content, student interactions, or violations of law.

Dispute Resolution

• Any disputes arising from this Agreement will first be attempted to be resolved through informal negotiations. If the dispute cannot be resolved through negotiation, the matter will be resolved through binding arbitration in Bengaluru, in accordance with applicable laws.
• This Agreement will be governed by and construed in accordance with the laws of India.

Amendments to the Agreement

• Property Pro Legal reserves the right to modify this Agreement at any time. Any changes will be posted on the website, and the instructor will be notified of such changes. Continued use of the Platform after such changes will be considered acceptance of the new terms.

Miscellaneous

• This Agreement represents the complete understanding between the Platform and the Instructor with respect to the subject matter herein and supersedes any prior agreements or communications.
• If any part of this Agreement is deemed unenforceable by a court of law, the remaining provisions will remain in effect.
• The failure of the Platform to enforce any provision of this Agreement will not constitute a waiver of the provision or any other part of the Agreement.

By submitting content or registering as an instructor, you acknowledge that you have read, understood, and agree to the terms of this Agreement.
