Affiliate Agreement

This Affiliate Agreement (the "Agreement") is entered into by and between Property Pro Legal, located at www.propertypro.legal (the "Platform"), and the Affiliate ("Affiliate"). The Platform and Affiliate may be referred to collectively as the "Parties."

This Agreement governs the terms under which the Affiliate will promote the services and products offered by Property Pro Legal and receive commissions or other compensation for such promotion.

Acceptance of Agreement

By signing this Agreement or participating in the Property Pro Legal Affiliate Program (the "Program"), the Affiliate agrees to be bound by the terms and conditions of this Agreement. If the Affiliate does not agree to these terms, they should not participate in the Program.

Affiliate Responsibilities

• The Affiliate agrees to promote and market the Platform's courses, educational content, and services through their website, social media, or other channels approved by the Platform.
• The Platform will provide the Affiliate with promotional materials such as banners, links, and other digital assets ("Marketing Materials"). The Affiliate agrees to use only the provided Marketing Materials and may not alter or modify them in any way unless otherwise authorized.
• The Affiliate agrees to comply with all applicable laws and regulations, including those related to advertising, privacy, and intellectual property. This includes avoiding deceptive or misleading statements and ensuring that all advertising complies with applicable advertising guidelines.

Affiliate Compensation

• The Affiliate will receive a commission based on the sales generated from the affiliate links they share. The specific commission rate and payment terms are outlined in the Affiliate Compensation Policy provided by the Platform. Commissions will be paid on a monthly basis via the preferred payment method, subject to the Affiliate Compensation Policy. The Platform will only pay commissions for sales that are successfully completed and confirmed by the Platform.
• The Affiliate is responsible for any taxes, including income tax, VAT, or other applicable taxes, that may be owed on the commissions earned.

Tracking and Reporting

• The Platform will provide the Affiliate with a unique tracking link or code for each referral. This will ensure that all sales made through the Affiliate's efforts can be tracked accurately.
• The Affiliate will have access to a dashboard that provides information on clicks, sales, and commissions earned. The Platform will also provide regular reports detailing the Affiliate's performance.

Term and Termination

• This Agreement will begin on the date it is accepted by the Affiliate and will continue until terminated by either Party as outlined below.
• The Affiliate may terminate this Agreement at any time by ceasing all promotional activities and notifying the Platform in writing.
• Property Pro Legal reserves the right to terminate this Agreement at any time, with or without cause, by providing written notice to the Affiliate. Termination may occur if the Affiliate violates any terms of this Agreement, engages in unethical conduct, or fails to promote the Platform in a manner consistent with the Platform's standards.
• Upon termination, the Affiliate will no longer be entitled to commissions for sales made after the termination date. However, commissions for any sales completed before termination will still be paid to the Affiliate, provided they meet the conditions for payout.

Affiliate Code of Conduct

• The Affiliate must promote the Platform's services in an honest and transparent manner. Misleading or fraudulent advertising is prohibited.
• The Affiliate is prohibited from using spam, unsolicited emails, or any unethical marketing practices to promote the Platform. The Affiliate should only engage in marketing efforts that are respectful and professional.
• The Affiliate agrees not to engage in activities that could damage the reputation of Property Pro Legal or its services. This includes refraining from making negative or defamatory statements about the Platform.

Intellectual Property

• The Platform grants the Affiliate a non-exclusive, revocable license to use the Platform's trademarks, logos, and Marketing Materials solely for the purpose of promoting the Platform's courses and services as part of the Program.
• The Platform retains all ownership rights to its trademarks, logos, and intellectual property. The Affiliate may not use these materials in any manner that is not expressly authorized by this Agreement. All content provided by the Affiliate remains the Affiliate's property. However, the Platform may use any content created by the Affiliate to promote the Platform at its discretion.

Limitation of Liability

• The Platform makes no guarantees regarding the number of sales or commissions the Affiliate will earn. The Affiliate's success in the Program depends on various factors, including the Affiliate's marketing efforts and the effectiveness of the Platform's offerings.
• The Affiliate agrees to indemnify and hold harmless Property Pro Legal, its officers, directors, employees, and affiliates from any claims, losses, damages, or legal expenses arising from the Affiliate's marketing efforts, promotion activities, or violation of this Agreement.

Confidentiality

• Both Parties agree to keep confidential any proprietary information, business strategies, financial details, and customer data obtained during the term of this Agreement. This obligation remains in effect even after the termination of the Agreement.

Dispute Resolution

• In the event of any dispute, the Parties agree to attempt to resolve the issue through informal negotiation. If a resolution cannot be reached, the dispute will be settled through binding arbitration in Bengaluru under the laws of India.
• This Agreement shall be governed by the laws of India, without regard to its conflict of law principles.

Amendments to the Agreement

• The Platform reserves the right to modify this Agreement at any time. The Affiliate will be notified of any material changes, and continued participation in the Program after such changes constitutes acceptance of the new terms.

Miscellaneous

• This Agreement represents the entire understanding between the Parties regarding the Affiliate Program and supersedes any prior agreements or communications related to the Program.
• If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in effect.
• The failure of the Platform to enforce any provision of this Agreement will not constitute a waiver of that provision or any other part of the Agreement.

By participating in the Property Pro Legal Affiliate Program, the Affiliate acknowledges that they have read, understood, and agree to the terms of this Affiliate Agreement.
